===== 1. Accepting the Terms of Service =====


Please read this Terms of Service Agreement (the "Agreement") carefully.  By signing the Symvol Private Cloud Customer Agreement (“Customer Agreement”) or by Your use of or access to the Symvol Cloud (SC) and other Uform Services (collectively referred to as 'Uform Services'), You indicate that You have read and agree to be bound by all the terms of this Agreement. If You do not agree to all of the terms of this Agreement, You should not and are not permitted to access or use the Uform Property; however, any unauthorized use or access by You still constitutes consent to all of the terms of this Agreement.

This Agreement is between You or the individual, company, or other entity that You represent, and Uform, which sets forth the rules around use of the Uform Property, related services, and additional content shared by Uform for application development.  This Agreement requires that You and Uform have entered into a Symvol Private Cloud Customer Agreement ("Customer Agreement") to which this Agreement is referred.

===== 2. Your Account =====

As a condition to use the Uform Property, You are required to enter into a Customer Agreement to establish an account and create a password.  The account assigned to You under the Customer Agreement will serve as the backend administration for Your Uform Services.  You agree to provide Uform with accurate, complete, and updated registration information, particularly Your email address. You are responsible for ensuring that all contact and address information is current and valid for notifications and billing.  You are also responsible for maintaining the confidentiality of Your Account password and for the security of Your Account. 

===== 3. Rights =====

**3.1  Uform’s Ownership.** Except as set forth herein and in the Customer Agreement and Development Agreements, You acknowledge and agree that, as between You and Uform, Uform owns all right, title and interest in and to the SC, the Uform Services, the Uform Property, Uform trademarks, and any derivative works or enhancements thereof, including but not limited to all worldwide Intellectual Property Rights therein. You agree not to act in any manner inconsistent with such ownership. Any of Uform’s rights not expressly granted under this Agreement are withheld. You agree that You will not challenge Uform’s ownership of the SC, the Uform Services, the Uform Property, or Uform  trademarks or otherwise copy or exploit Uform trademarks during or after the termination of this Agreement, except as expressly authorized in writing by Uform.

**3.2  Your Ownership.**  As between You and Uform, You retain all worldwide right, title and interest in and to Your User Applications, excluding (i) the SC; (ii) the Uform Property; (iii) Uform’s trademarks; and (iv) any derivative works or enhancements thereof, including but not limited to all Intellectual Property Rights therein.

**3.3  Cost and Fees.**  The cost and payment for access to the Uform Property and the creation and maintenance of Your account is defined in Your Customer Agreement.  Late, past due, or delinquent accounts are a violation of both this Agreement and Your Customer Agreement and may result in termination of this Agreement and Your Customer Agreement according to the terms of the Customer Agreement.

**3.4  Feedback.** You may provide Uform with feedback, comments, or suggestions ("Feedback") related to the Uform Property and/or Your experience with and use thereof. By submitting Feedback, You assign all rights, title, and interest in that Feedback to Uform. Uform and its designees and assignees will be free to copy, modify, create derivative works of, publicly display, disclose, distribute, license, sublicense, incorporate, and otherwise use Feedback, including all derivative works thereto, for any and all purposes, commercial or otherwise, with no obligation of any kind to You.

===== 4. Restrictions =====

The rights granted to You in this Agreement are explicitly conditioned on Your adherence to the following restrictions. 

**4.1  Compliance with this Agreement.**  You must comply with the restrictions set forth and in all uses of the Uform Property. If Uform believes, in its sole discretion, that You have violated or attempted to violate any term, condition or the spirit of this Agreement, Your access to and ability to use the Uform Property may be suspended and/or terminated, as outlined in Section 7 (Termination).  If You are concerned about whether or not You are violating this Agreement or any other policies or guidelines, please e-mail us at legal@uform.co.

**4.2  Obtaining and Maintaining a SC Key.**  In order to use and activate the SC, You must have valid SC credentials (a "SC Key"). This is obtained once You create an account and are registered as an approved user with Uform. You will not share Your SC Key, will keep such SC Key secure, and will use it as Your sole means of accessing the SC. Sharing of a SC Key with other parties or attempts to access the SC by other means than the SC Key will be considered a violation of this Agreement and grounds to temporarily or permanently revoke Your access to the Uform Property. 

**4.3  No SC or Kernel Replication.**  You will not replicate any parts, features, or services offered by SC, but You are explicitly permitted to create extensions of such features or services. For example, You are not permitted to replicate or attempt to replicate the SC, but may utilize the SC to create a modeling system for jewelry. In addition, You will not use the Uform Property or other information collected from the Uform Property to create or maintain a separate competitive geometric kernel or parts of a competitive kernel.

**4.4  No Competitive Monitoring.** You will not use or access the Uform Services in order to monitor the availability, performance, or functionality of any of the Uform Services, for benchmarking, system analysis, or other competitive purposes.

**4.5  No Export for the Purpose of Replication, Repackaging, or Resale.** You will not, under any circumstances, repackage or resell the Uform Property, including any content, in any manner, including but not limited to offering access to the Uform Property through its own API. For the sake of clarity, this restriction is not intended to apply to User Applications that may, at the request of a user, export such user’s content for the purposes of data portability. You will not try to archive or resell Uform Property, excluding data portability applications.

**4.6  No Compromising Uform Security.** You are not permitted to use the Uform Property in any manner that does or could potentially undermine the security of the Uform Services or the Uform Property. In addition, You will not, and will not attempt to, interfere with, modify, or disable any features, functionality, or security controls of the SC or Uform Services, defeat, avoid, bypass, remove, deactivate, or otherwise circumvent any protection mechanisms of the Uform Property, or reverse engineer, decompile, disassemble,  or derive source code, underlying ideas, algorithms, structure, or organizational form from the SC or Uform Services.

**4.7  Reporting Security Flaws and Unauthorized Access.** You will immediately report to Uform any security flaws You discover in any of the Uform Services or the Uform Property. Uform reserves the right, in its sole discretion, to determine what constitutes a security flaw. You will further immediately report any actual or suspected unauthorized access to the SC using Your SC Key. Failure to report such flaws or unauthorized accesses, particularly prior to public disclosure, will be considered a material breach of this Agreement. Please send security flaw reports to security@uform.co.

**4.8  No User Phishing, Malware, or Identity Theft.** You will not use the SC or Uform Services to create User Applications that publish, bundle, or link to malicious content intended to damage, disrupt, or exploit a user’s browser, computer, or Uform account or to compromise a user’s privacy or credentials in any manner.

**4.9  Respect for SC Limitations.** You will respect the letter and the spirit of the programmatic limitations of the SC and the restrictions of this Agreement in designing and implementing User Applications. For example, You will not work around any explicit SC limitation using a series of non-API calls, even if such work-arounds are possible by avoiding use of the SC. In addition, You will comply with any limitations on the frequency of access, calls, and use of the SC as provided to You by Uform from time to time.

**4.10  No Circumvention or Reverse Engineering; Maintenance of Proprietary Notices.** You will not, and will not attempt to: (i) interfere with, modify or disable any features or functionality of the SC or Uform Services, including, without limitation, any mechanisms used to restrict or control the SC or Uform Services, such as anti-circumvention measures; (ii) translate, reverse engineer, decompile, disassemble, or derive source code, underlying ideas, algorithms, structure, or organizational form from the Uform Services or the Uform Property; (iii) defeat, avoid, bypass, remove, deactivate, or otherwise circumvent any protection mechanisms for the Uform Services or the Uform Property; or (iv) remove or modify any proprietary notices, attribution, or marks from or delivered as part of the Uform Services or the Uform Property.

**4.11  Indicating Use of SC and Uform Services.** In a prominent location in all User Applications, You should, to the extent reasonable based on the nature of the User Application, indicate that such User Applications have been created using SC and/or Uform Services. Make sure to say somewhere in Your application that You are using the SC or Uform Services. For example, You could say 'Powered by Uform'.

**4.12  Monitoring.** Uform reserves the right to monitor Your use of the Uform Property for any reason or no reason, including to ensure Your compliance with the terms and conditions of this Agreement.

**4.13  Reporting and Statistics.** You will ensure that all User Applications properly use all reporting functionality that is made available through aspects of the SC that are used by User Applications. When You register an application or report other data to us, You will ensure that information is accurate.

===== 5. Acceptable Use Policy ===== 

**5.1  No Illegal, Harmful, or Offensive Use or Content.**  You may not use, or encourage, promote, facilitate, or instruct others to use, the Uform Services for any illegal, harmful, or offensive use, or to transmit, store, display, distribute, or otherwise make available content that is illegal, harmful, or offensive. Prohibited activities or content include but are not limited to:
- Illegal Activities. Any illegal activities, including advertising, transmitting, or otherwise making available gambling sites or services or disseminating, promoting, or facilitating child pornography.
- Harmful or Fraudulent Activities. Activities that may be harmful to others, our operations or reputation, including offering or disseminating fraudulent goods, services, schemes, or promotions (e.g., make-money-fast schemes, ponzi and pyramid schemes, phishing, or pharming), or engaging in other deceptive practices.
- Infringing Content. Content that infringes or misappropriates the intellectual property or proprietary rights of others.
- Offensive Content. Content that is defamatory, obscene, abusive, invasive of privacy, or otherwise objectionable, including content that constitutes child pornography, relates to bestiality, or depicts non-consensual sex acts.
- Harmful Content. Content or other computer technology that may damage, interfere with, surreptitiously intercept, or expropriate any system, program, or data, including viruses, Trojan horses, worms, time bombs, or cancelbots.

**5.2  No Security Violations.** You may not use the Uform Services to violate the security or integrity of any network, computer or communications system, software application, or network or computing device. Prohibited activities include but are not limited to:
- Unauthorized Access.  Accessing or using any System without permission, including attempting to probe, scan, or test the vulnerability of a System or to breach any security or authentication measures used by a System.
- Interception. Monitoring of data or traffic on a system without permission.
- Falsification of Origin. Forging TCP-IP packet headers, e-mail headers, or any part of a message describing its origin or route. This prohibition does not include the use of aliases or anonymous remailers.

**5.3  No Network Abuse.**  You may not make network connections to any users, hosts, or networks unless You have permission to communicate with them. Prohibited activities include but are not limited to:
- Monitoring or Crawling. Monitoring or crawling of a system that impairs or disrupts the system being monitored or crawled.
- Denial of Service (DoS). Inundating a target with communications requests so the target either cannot respond to legitimate traffic or responds so slowly that it becomes ineffective.
- Intentional Interference. Interfering with the proper functioning of any system, including any deliberate attempt to overload a system by mail bombing, news bombing, broadcast attacks, or flooding techniques.
- Operation of Certain Network Services. Operating network services like open proxies, open mail relays, or open recursive domain name servers.
- Avoiding System Restrictions. Using manual or electronic means to avoid any use limitations placed on a system, such as access and storage restrictions.

**5.4  No E-Mail or Other Message Abuse.**  You will not distribute, publish, send, or facilitate the sending of unsolicited mass e-mail or other messages, promotions, advertising, or solicitations (like 'spam'), including commercial advertising and informational announcements. You will not alter or obscure mail headers or assume a sender’s identity without the sender’s explicit permission. You will not collect replies to messages sent from another internet service provider if those messages violate this Policy or the acceptable use policy of that provider.

**5.5  Our Monitoring and Enforcement.** Uform reserves the right, but do not assume the obligation, to investigate any violation of this Agreement or misuse of the Uform Services. Uform may:
1) investigate violations of this Terms of Use or misuse of the Uform Services; or
2) remove, disable access to, or modify any content or resource that violates this Agreement or any other agreement Uform have with You for use of the Uform Services.

We may report any activity that Uform suspect violates any law or regulation to appropriate law enforcement officials, regulators, or other appropriate third parties. Our reporting may include disclosing appropriate customer information. Uform also may cooperate with appropriate law enforcement agencies, regulators, or other appropriate third parties to help with the investigation and prosecution of illegal conduct by providing network and systems information related to alleged violations of this Agreement.

**5.6  Reporting of Violations of this Agreement.** If You become aware of any violation of this Agreement by You, You will immediately notify Uform and provide Uform with assistance, as requested, to stop or remedy the violation. To report any violation of this Agreement, please email Uform at legal@uform.co. If Uform becomes aware of any violation of this Agreement by Uform, Uform will immediately notify You and provide You with assistance, as requested, to stop or remedy the violation. 

===== 6. Confidentiality =====

Each Party will protect each other’s Confidential Information from unauthorized use, access or disclosure in the same manner as each protects its own Confidential Information, but with no less than reasonable care. From time to time each Party may gain access to proprietary information, technical data, trade secrets or know-how, including, but not limited to, source code, research, product plans, products, services, customers, customer lists, markets, software, developments, inventions, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, finances or other business information ('Confidential Information'). All information received from either Party should be considered by the other Party as confidential unless otherwise clearly marked. Confidential Information does not include information which is openly published by the Party, becomes or already is public knowledge through no fault of the other Party or known prior to this agreement by either Party. Neither Party may not disclose Confidential Information to a third party without the prior express consent of the other Party, provided in writing or by email. Both Parties agree that it will protect Confidential Information from unauthorized use, access, or disclosure in the same manner that they would use to protect its own confidential and proprietary information of a similar nature and in any event with no less than a reasonable degree of care.

===== 7. Termination =====

**7.1  Termination by You.** You may terminate this Agreement for any reason by providing Uform with sixty (60) days advance notice in writing.

**7.2  Termination by Uform.**  Uform may suspend or terminate this Agreement immediately upon notice to You for any breach of the terms of this Agreement, including but not limited to Section 3.1 (Uform’s Ownership), Section 4 (Restrictions), Section 4.10, or Section 5 (Acceptable Use Policy), or Section 6 (Confidentiality). Uform may also suspend or terminate this Agreement immediately upon notice to You for any breach by You of its obligations under Section 5.3 (Proprietary Information, Recipient Obligations) of the Customer Agreement. In the event of termination of this Agreement, You will pay Uform the fees for all services performed and products delivered, up to the date of termination.

**7.3  Termination by Other Agreements.**  If the Customer Agreement is terminated for any reason, this will immediately terminate this Agreement as well.

**7.4  Effect of Suspension.**  A suspended account will have certain features and functionality associated with Your account disabled, the extent of which will depend on the gravity of the breach of these terms or failure to keep Your account up to date.  Uform reserve the right to take any measure authorized under this Agreement in order to protect its Intellectual Property Rights.  The period of suspension will last no longer than thirty (30) days.  The period of suspension can be shorter than thirty (30) days if the material default or breach is cured before thirty (30) days, which Uform approves in writing.

**7.5  Effect of Termination.** Upon termination of this Agreement for any reason, You will cease using, and either return to Uform, or destroy and remove from all computers, hard drives, networks, and other storage media, all copies of the Uform Property and any Confidential Information in Your possession, and will certify to Uform that such actions have occurred. Sections 4, 6, and 9 will survive termination of this Agreement. 

===== 8. Modifications =====

**8.1  Revisions.** Uform reserves the right to make changes and revisions to the Agreement by posting a revised version online and providing notice to You via email. You are responsible for reviewing and becoming familiar with any modifications to this Agreement.

**8.2  Your Review.** We may sometimes ask You to review and to explicitly agree to (or reject) a revised version of this Agreement. In such cases, modifications will be effective at the time of Your agreement to the modified version of this Agreement. If You do not agree at that time, You are not permitted to use the Uform Property. 

**8.3  Effective Date.**  In cases where we do not ask for Your explicit agreement to a modified version of this Agreement, but otherwise provide notice as set forth above, the modified version of this Agreement will become effective fourteen days after we have posted the modified Agreement and provided You notification of the modifications. Your use of the Uform Property following that period constitutes Your acceptance of the terms and conditions of this Agreement as modified. If You do not agree to the modifications, You are not permitted to use, and should discontinue Your use of, the Uform Property. 

===== 9. General =====

**9.1  Import, Export, Data Protection.**  You are responsible for complying with all applicable data protection, import, re-import, export, re-export control laws, and country-specific sanctions programs. Without limiting the foregoing, You are solely responsible for compliance related to the manner in which You use appliances or media, including Your transfer, upload, and download of Your data, goods, software, or technology and the provision of Your data, goods, software, or technology to end users. You are responsible for serving as the exporter and importer of record (as applicable) for Your media, data, goods, software, or technology, and You accept that Uform will not participate in the export or import procedure. If You are using appliances or media in the European Union, You represent that You, or the legal entity You represent, are 'established' in the European Union; or, if You are not 'established' in the European Union, that You will not upload or request that we download any dual-use or military controlled data, goods, software, or technology.

**9.2  Representations and Warranties.**  You represents and warrants that: (i) You have the necessary power and authority to enter into this Agreement, and that the performance of its obligations will not constitute a breach or otherwise violate any other agreement or the rights of any third party arising therefrom; (ii) You will maintain, throughout the Term, all required rights and licenses related to the User Applications and the User Applications will not infringe or otherwise violate any third party rights, including but not limited to third party intellectual property rights; and (iii) Your’s use of the Uform Property does and will comply with all applicable foreign, federal, state and local laws, rules and regulations.

**9.3  Indemnification.**  You agrees to defend, indemnify, and hold harmless Uform, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to Your violation of this Agreement or Your use of the SC, including, but not limited to, Your User Applications, any use of Uform's content, services, and products other than as expressly authorized in this Agreement or any other agreement between You and Uform.

**9.4  Disclaimer.**  You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data. TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO 
YOUR USE OF THE UFORM SERVICES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT. <br>
YOUR USE OF THE UFORM SERVICES AND ANY SERVICES OR ITEMS OBTAINED THROUGH UFORM IS AT YOUR OWN RISK. THE UFORM SERVICES AND ANY SERVICES OR ITEMS OBTAINED THROUGH UFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH UFORM MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE UFORM SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER UFORM NOR ANYONE ASSOCIATED WITH UFORM REPRESENTS OR WARRANTS THAT THE UFORM SERVICES AND ANY SERVICES OR ITEMS OBTAINED THROUGH UFORM WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE UFORM SERVICES AND ANY SERVICES OR ITEMS OBTAINED THROUGH UFORM WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS. <br>
TO THE FULLEST EXTENT PROVIDED BY LAW, UFORM HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE. <br>
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

**9.5  Limitation of Liability.**  
EXCEPT AS EXPRESSLY SET FORTH HEREIN, TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL UFORM, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE UFORM SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. 

Any claim arising out of or relating to this Agreement must be brought within one (1) year. The foregoing limitations will survive and apply even if any limited remedy specified in this agreement is found to have failed of its essential purpose.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

**9.6  Governing Law and Jurisdiction.**  This Agreement shall in all respects be interpreted and construed in accordance with and governed by the laws of the State of Oregon, U.S.A., without regard to its principles governing conflicts of law, regardless of the place of its execution or performance. This will not prevent Uform from bringing an action for infringement of intellectual property rights in any country where such infringement is alleged to occur. You may not use the Uform Property in a manner that violates any applicable local, state, national or international law or governmental regulation, policy procedure or ordinance, or any rights of a third party.

**9.7  Relationship.** No agency, partnership, joint venture, or employment relationship is created as a result of this Agreement and neither Party has any authority of any kind to bind the other in any respect.

**9.8  Severability.**  If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of this Agreement, which will remain valid and enforceable according to its terms.

**9.9  Force Majeure.**  Uform will not be liable for any loss, damage, or penalty resulting from delays or failures in performance resulting from acts of God, supplier delay or other causes beyond Uform's reasonable control.

**9.10  Miscellaneous.**  The section and paragraph headings in this Agreement, along with all provided annotations, are for convenience only and will not affect the interpretation of this Agreement. The failure of Uform to enforce any part of this Agreement will not constitute a waiver of its right to later enforce that or any other part of this Agreement. Waiver of compliance in any particular instance does not mean that Uform will waive compliance in the future. In order for any waiver of any covenant or right under this Agreement to be binding, such waiver must be memorialized in a writing duly authorized by Uform.

===== 10. Definitions =====

**Agreement** means this Terms of Service agreement.

**Confidential Information** means proprietary information, technical data, trade secrets or know-how, including, but not limited to, source code, research, product plans, products, services, customers, customer lists, markets, software, developments, inventions, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, finances or other business information.

**Customer Agreement** see SC Customer Agreement or SPC Customer Agreement.

**Intellectual Property Rights** or **IPR** means all patents, rights to inventions, utility models, copyright, trade marks, service marks, domain names, rights in designs, rights in computer software and database, rights in confidential information and any other intellectual property rights, in each case whether registered or unregistered and including all applications for and renewals or extensions of such rights. 

**Party** or **Parties** means You and Uform.

**Service Level Agreement** or **SLA** is a separate agreement that defines the monthly uptime for SC.

**Symvol Cloud** or **SC** means all or any part of a server/client infrastructure hosting and/or executing Uform's technology, all or any of Uform's technology and any modifications made to Uform's technology or the server infrastructure based on the Your specification.

**Symvol Cloud Key** or **SC Key** means valid credentials given by Uform which are required in order to use and activate the Symvol Cloud.

**Symvol Private Cloud Customer Agreement** or **SPC Customer Agreement** is a separate agreement governing payment and use of SPC.  An active SC Customer Agreement or a SPC Customer Agreement is required as part of this Agreement.

**Technical Support Services Guidelines** or **TSS** is a separate agreement defines how to submit technical support requests, and support levels.

**Term** means the period starting when this Agreement is accepted by any mechanism and continues until either Party terminates this Agreement, including when the Agreement is terminated due to a violation of this Agreement. 

**Uform** means Uform AS, a Delaware corporation (https://uform.co).

**Uform Property** means the Uform Services, any accompanying or related documentation, source code, executable applications, or other materials, and all Intellectual Property Rights associated therewith.

**Uform Services** means the Symvol Cloud or any other Uform services agreed upon in a separate contract(s). 

**User Applications** means an application built by You and/or Uform using SC or Uform Services.

**You** or **Your** means you or the individual, company or other entity that You represent.
